Write a ReviewAbout Potentia Capital
Potentia Capital is a Sydney-based private equity firm established in 2014, exclusively focused on investing in technology, software, and technology-enabled services businesses across Australia and New Zealand. The firm partners with founders and management teams to accelerate growth and facilitate global scaling. Potentia Capital distinguishes itself through a specialist investment approach, combining deep sector expertise, operational capability, and a long-term partnership model with management teams. They are notably the only Australia and New Zealand focused middle market technology specialist buyout firm, a key differentiator in the regional investment landscape.
Potentia's active ownership model leverages an in-house operating team and an extensive global network to drive digital transformation, product innovation, and international expansion within their portfolio companies. The firm targets established middle-market technology companies with enterprise values ranging from A$50 million to A$300 million and revenues between $10 million and $150 million. Their investment thesis centres on acquiring category-leading SaaS platforms in fragmented markets, with a clear strategy for international growth and enhancing customer value through product innovation.
Over the years, Potentia Capital has demonstrated a strong track record of successful investments and exits. Key achievements include the A$1.35 billion exit from mining software provider Micromine to Weir Group Plc in March 2025. Other notable exits include the sale of payroll software specialist Ascender for a 16.4x return and compliance software-as-a-service provider CompliSpace for AUD 110 million, generating a 4.7x multiple. The firm also completed the take-private acquisition of Nitro Software in April 2023 for approximately A$550 million, a significant transaction showcasing their capability in complex deals.
The firm's leadership team is comprised of seasoned professionals with extensive experience in technology investing and private equity. Andrew Gray, a Managing Director, brings over 20 years of experience and previously held roles as a partner at US technology buyout firm Francisco Partners and a Managing Director at Archer Capital. Tim Reed, also a Managing Director, previously served as the CEO of MYOB, a leading Australian technology company, and is the current President of the Business Council of Australia. Michael McNamara serves as a Partner, contributing his background from Archer Capital and UBS Investment Bank. This collective expertise underpins Potentia Capital's strategic insights and operational support, positioning them as a formidable player in the technology private equity sector.
