Terms of Service

1. Agreement to terms

By accessing or using batko.ai, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform. batko.ai is operated by Puddle Pod Pty Ltd (ABN 89 652 445 451). When we say “we”, “us”, or “our”, we mean Puddle Pod Pty Ltd. When we say “you”, we mean you, the person using our platform.

2. Account registration and security

Some features of batko.ai require you to create an account. When you do, you agree to:

• Provide accurate and complete information.
• Keep your login credentials secure and confidential.
• Notify us immediately if you suspect unauthorised access to your account.
• Accept responsibility for all activity that occurs under your account.

You must be at least 18 years old to create an account.

3. Description of services

batko.ai provides founder tools, AI-powered features (including pitch analysis, co-founder matching, business profile generation, and chat-based assistants), analytics dashboards, coaching resources, and community features for startup founders and leaders. The specific features available to you depend on your subscription plan and account type.

4. Paid services

batko.ai offers both free and paid features, including subscriptions and one-time purchases. All payments are processed by Stripe. We do not store your card details.

• Subscriptions - billed on a recurring basis (monthly or annually) as specified at the time of purchase. You can cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Refunds - subscription fees are generally non-refundable. If you believe you are entitled to a refund, contact us at hello@batko.ai and we will review your request on a case-by-case basis.
• Price changes - we may change our pricing from time to time. If you are on an active subscription, we will give you at least 30 days notice before any price increase takes effect.

5. AI-powered features

batko.ai includes features powered by artificial intelligence. By using these features, you acknowledge and agree that:

• AI outputs may contain errors. AI-generated content, scores, analysis, and recommendations are provided as-is and may be inaccurate, incomplete, or unsuitable for your specific situation.
• Not professional advice. Nothing generated by our AI features constitutes legal, financial, investment, tax, or other professional advice. You should consult qualified professionals before making decisions based on AI outputs.
• You are responsible for verifying AI outputs. You should independently verify any information, analysis, or recommendations before relying on them.
• Third-party AI providers. We use third-party AI providers, including Anthropic and Google, to power our AI features. Your inputs may be processed by these providers in accordance with their respective data handling policies.

6. User content

You retain ownership of all content you submit to batko.ai, including profile information, pitch decks, business descriptions, messages, and any other materials.

By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, store, and display your content solely for the purpose of operating and improving our services. This includes processing your content through third-party AI providers to deliver the features you use.

We will not publish your content publicly or share it with other users without your consent, except where necessary to deliver a feature you have opted into (for example, co-founder matching profiles are shared with your matched counterpart).

7. Acceptable use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law.
• Scrape, data-mine, crawl, or use automated tools to extract data from the platform.
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
• Harass, threaten, impersonate, or abuse other users.
• Submit false, misleading, or fraudulent information.
• Upload or transmit malware, viruses, or other harmful code.
• Attempt to gain unauthorised access to other accounts or our systems.
• Use the platform to generate or distribute harmful, hateful, or illegal content.
• Circumvent any access controls, rate limits, or payment requirements.

We may suspend or terminate your account without notice if you breach these terms.

8. Intellectual property

All content, design, code, trademarks, logos, and other intellectual property on batko.ai (excluding user-submitted content) is owned by Puddle Pod Pty Ltd or its licensors and is protected by Australian and international intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our platform or its content without our prior written consent.

9. Limitation of liability

To the maximum extent permitted by law, Puddle Pod Pty Ltd and its directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of batko.ai.

Our total aggregate liability for any claim arising from your use of the platform is limited to the amount you have paid us in the 12 months preceding the claim, or $100 AUD, whichever is greater.

Australian Consumer Law: Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Puddle Pod Pty Ltd and its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, your breach of these terms, or your violation of any law or the rights of a third party.

11. Termination

By you: You may close your account at any time through your account settings or by emailing us at hello@batko.ai. If you have an active subscription, cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your account at any time, with or without notice, if you breach these terms or if we reasonably believe your use of the platform poses a risk to other users or our systems. We may also discontinue the platform or any feature at any time.

12. Dispute resolution

If you have a dispute with us, we encourage you to contact us first at hello@batko.ai so we can attempt to resolve it through good faith negotiation.

If we cannot resolve the dispute informally within 30 days, either party may submit the dispute to the courts of Victoria, Australia.

13. Governing law

These terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia for the resolution of any disputes.

14. Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15. Changes to these terms

We may update these terms from time to time. Changes will be posted on this page with an updated “Last updated” date. If we make material changes, we will notify you by email or through a notice on the platform. Your continued use of the platform after changes are posted constitutes acceptance of the updated terms.
